Terms of Use

1. Acceptance of Terms

By accessing or using Vocaid's AI-powered interview practice and recruitment platform (the "Service"), you agree to be bound by these Terms of Use ("Terms"). These Terms constitute a legally binding agreement between you and Vocaid LLC ("Vocaid," "we," "us," or "our").

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Vocaid provides an AI-powered platform for interview practice and recruitment, including:

• AI 驱动的语音面试，支持实时自然语言对话

• 用于沟通辅导的语音转文字转录和语音分析
• 跨多个能力维度的 AI 表现评分

3. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

The Service is available in select jurisdictions. We reserve the right to restrict access from jurisdictions where the Service cannot be offered in compliance with applicable law.

4. User Accounts

To access certain features, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and up-to-date information
• Notifying us immediately of any unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

5. 订阅、免费试用、积分与付款

本服务通过付费订阅、可选的免费试用和一次性积分包提供。

免费试用。开始免费试用前，您必须添加一张有效的支付卡。我们会通过零元预授权验证该卡——试用开始时不会向您收费。除非您在试用期结束前取消，否则试用期结束时您的付费订阅将自动开始，并按您注册时显示的套餐价格从您保存的卡中扣款。您可以在试用期结束前随时在“设置 > 账单”中取消，届时不会向您收费。我们会在试用转为付费前发送提醒。除非注册时显示更长的试用期，您的试用期为 7 天；每人限试用一次。

订阅。订阅费用按月或按年预先收取，并自动续订，直至您取消。您可以随时在“设置 > 账单”中取消；取消将在当前计费周期结束时生效，在此之前您仍可继续使用。

套餐内用量与积分。每个套餐包含每月用量额度（例如一定次数的练习面试）。套餐内额度在每个计费周期重置，不结转。此外，您可以购买一次性积分包，我们也可能赠送免费积分（例如在您验证账户时——当前数额以产品内显示为准，并可能变动）。购买和赠送的积分会进入您的积分钱包，在您的账户存续期间不会过期，并在您套餐内额度用完后自动使用。积分不可在账户之间转让，且不具有现金价值。

促销代码。我们可能提供优惠券或促销代码。代码为一次性、按账户使用，可能要求账户已绑定支付卡，不能兑换现金；如果我们有合理理由认为代码被滥用，可能会撤销该代码。

退款。如果您购买了积分包且尚未使用其中任何积分，您可以在购买后 7 天内通过联系 support@vocaid.ai 申请退款。已就您使用本服务的计费周期收取的订阅费用一般不予退款，法律另有要求的除外。如果您是欧盟、欧洲经济区或英国的消费者，您享有 14 天撤销权。当您立即开始订阅或使用积分时，即表示您要求我们立即提供服务。如果您在 14 天内撤销，我们将退还您尚未使用的部分；一旦服务已全部履行，撤销权即告终止。

除非另有说明，所有价格均以美元列示。我们可能调整价格，并至少提前 30 天通知现有订阅用户；调整自您的下一个计费周期起适用。

6. AI Disclosure and Consent

The Service extensively uses artificial intelligence and machine learning technologies. By using the Service, you acknowledge and agree to the following:

• Interview conversations are conducted by AI, not human interviewers
• Performance scores and feedback are generated by AI algorithms and represent probabilistic assessments, not objective measurements
• AI-generated scores may vary based on factors including language, accent, audio quality, and internet connection
• The Service does not guarantee employment outcomes — interview practice results are for educational and preparatory purposes only

• The AI Coach can optionally speak using an AI-synthesized voice (text-to-speech). This voice is AI-generated, the spoken feedback is AI-generated and informational only, and it does not constitute professional or career advice. This feature is opt-in and off by default.
• We do not use emotion recognition or inference in workplace assessment contexts

You expressly acknowledge and agree that:

• AI SCORES ARE ADVISORY ONLY — All AI-generated performance scores, feedback, competency assessments, and coaching recommendations are provided as general guidance for interview preparation. They do not constitute professional career advice, employment guarantees, or objective evaluations of your qualifications.
• NO RELIANCE FOR HIRING DECISIONS — If you are an employer or recruiter using the Service, AI-generated scores must not be the sole basis for any hiring, promotion, termination, or other employment decision. Human review and independent judgment must be applied to all employment-related decisions.
• AI SYSTEM LIMITATIONS — Our AI systems may produce inaccurate, incomplete, or biased outputs. Factors such as audio quality, accent, language proficiency, background noise, network latency, and cultural communication norms may affect the accuracy of assessments. We do not guarantee the accuracy, completeness, or fairness of any AI-generated output.

• NO LEGAL, MEDICAL, OR PROFESSIONAL ADVICE — AI-generated feedback does not constitute legal, medical, psychological, or professional career counseling. Seek qualified professional advice for such matters.

7. Privacy and Data Use

Your privacy is important to us. Our Privacy Policy explains in detail how we collect, use, disclose, and protect your personal information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

You may opt in to allow your anonymized data to be used for AI model improvement. This is entirely optional and does not affect your access to or experience with the Service.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Share your account credentials with others or allow others to use your account
• Upload malicious content, malware, or code designed to disrupt the Service
• Interfere with the proper functioning of the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract our algorithms or proprietary technology
• Use the Service to discriminate against any individual or group based on protected characteristics
• Misrepresent AI-generated scores as official hiring evaluations or employment guarantees
• Use automated tools (bots, scrapers) to access the Service without written permission
• Resell, sublicense, or redistribute access to the Service

Violation of these restrictions may result in immediate suspension or termination of your account and, where applicable, legal action.

10. Intellectual Property

All content, features, functionality, software, and technology of the Service are owned by Vocaid LLC and are protected by international copyright, trademark, patent, and other intellectual property laws.

You retain ownership of content you upload to the Service (such as resumes and profile information). By uploading content, you grant Vocaid a non-exclusive, worldwide, royalty-free license to use, process, and store that content solely for the purpose of providing the Service to you.

AI-generated interview feedback, scores, and coaching recommendations produced by the Service are provided for your personal or organizational use. You may not commercially redistribute AI-generated content from the Service without written permission.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) AI-generated scores or feedback will be accurate, complete, or reliable; (c) use of the Service will result in employment or improved interview performance; (d) any defects in the Service will be corrected.

Interview practice results are for educational and preparatory purposes only and should not be relied upon as the sole basis for hiring decisions.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VOCAID AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

This includes, without limitation, damages for loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Vocaid LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property rights
• Any content you upload or submit through the Service
• Your use of AI-generated scores or feedback in hiring or employment decisions

14. 国际使用与合规

15. AI监管

如果您是使用本服务进行招聘或候选人评估的雇主、招聘人员或组织部署者，您承认您可能根据适用的AI法规承担独立的法律义务。这些义务包括但不限于：

• 欧盟AI法案：高风险AI系统的部署者必须进行基本权利影响评估，实施人工监督，并告知受影响个人他们受到AI辅助决策的影响（第26-27条）
• 纽约市第144号地方法律：在纽约市使用自动化就业决策工具 (AEDT) 的雇主必须确保进行年度偏见审计，发布公开摘要，并提前10天通知候选人

16. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through the following process:

1. Informal Resolution: Before initiating formal proceedings, you agree to contact us at support@vocaid.ai and attempt to resolve the dispute informally for at least 30 days.
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Wyoming, USA, or remotely at your election.
3. Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. If your claim does not exceed $10,000, Vocaid will reimburse your filing fee and pay the arbitrator's fees. Each party shall bear its own attorneys' fees unless the arbitrator determines that a claim was frivolous, in which case the arbitrator may award reasonable attorneys' fees to the prevailing party.

You may opt out of this arbitration provision by sending written notice to support@vocaid.ai within 30 days of first accepting these Terms. If you opt out, neither you nor Vocaid will be required to arbitrate disputes and may instead litigate in a court of competent jurisdiction.

Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Small claims court actions are also excluded from the arbitration requirement.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

17. Termination

You may terminate your account at any time through your account settings or by contacting us at support@vocaid.ai.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include violation of these Terms, non-payment, or extended inactivity.

Upon termination: (a) your right to use the Service ceases immediately; (b) we will retain your data for the periods specified in our Privacy Policy; (c) you may request export of your data within 30 days of termination by contacting support@vocaid.ai.

18. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or through a prominent notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
